The Challenge
A well-established engineering consultancy operating in Qatar for over a decade under a traditional 51%-49% partnership structure wanted to take advantage of the new Foreign Investment Law to convert to a 100% foreign-owned WLL. The conversion required negotiating the exit of the Qatari partner, obtaining a foreign investment license, amending the company's legal structure without disrupting ongoing government contracts, and retaining the existing Commercial Registration number and all associated licenses.
Our Solution
Assessed the company's existing government contracts to confirm that converting to 100% foreign ownership would not trigger any change-of-control provisions or disqualify the company from ongoing tenders.
Negotiated and documented the Qatari partner's exit agreement, including share buyback valuation, goodwill considerations, and transition of the sponsorship obligations for existing employees.
Prepared the foreign investment license application to MOCI, demonstrating the company's economic contribution, local employment record, and alignment with Qatar National Vision 2030 priorities.
Filed the conversion application to amend the company's structure from a partnership WLL to a single-shareholder foreign WLL, retaining the original CR number and all existing activity codes.
Transferred all employee sponsorships from the previous company manager designation to the new structure without any employee visa disruption.
